Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Novos Verity's services, including our website, APIs, and applications (collectively, the "Services").

Service Level Agreement

We strive to provide reliable Services with the following commitments:

• Uptime: 99.9% monthly uptime for paid plans (excluding scheduled maintenance)
• Support: Email support with 24-hour response time for paid plans
• Maintenance: Scheduled maintenance windows with 48-hour notice

Payment and Billing

For paid Services, the following terms apply:

• Fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• You authorize us to charge your payment method on file
• Price changes will be notified 30 days in advance
• Failure to pay may result in service suspension or termination
• You are responsible for all taxes except those on our net income

Intellectual Property Rights

Our Content

The Services, including all content, features, and functionality, are owned by Novos Verity and protected by international copyright, trademark, and other intellectual property laws.

Your Content

You retain ownership of content you submit to our Services. By submitting content, you grant us a worldwide, non-exclusive license to use, store, and process your content as necessary to provide the Services.

Data and Privacy

Your use of the Services is also governed by our Privacy Policy. Key points include:

We do not warrant that the Services will be uninterrupted, error-free, or free from harmful components, or that defects will be corrected.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVOS VERITY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim, or $100 if you have not paid us anything.

Indemnification

You agree to indemnify and hold harmless Novos Verity and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Services or violation of these Terms.

Termination

We may terminate or suspend your access to the Services immediately, without prior notice, for any reason, including:

• Breach of these Terms
• Request by law enforcement or government agency
• Unexpected technical or security issues
• Extended periods of inactivity
• Non-payment of fees

You may terminate your account at any time by contacting us. Upon termination, your right to use the Services will cease immediately.

Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

The arbitration shall take place in San Francisco, California, and judgment on the award may be entered in any court having jurisdiction.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by email or through the Services. Your continued use of the Services after changes take effect constitutes acceptance of the modified Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
